The driver, who police said hailed from Mount Olive north-west of Katoomba, was trapped for two hours before being stabilised and flown by Hunter Westpac rescue helicopter to John Hunter Hospital.
One of his friends, believed to be aged 26, died inside the wreck while three others escaped with relatively minor injuries.
One of the men was thrown from the vehicle on impact.
The accident occurred on Maitland Vale Road about 11.15pm over a sweeping right hand bend.
Paramedics spent more than two hours stabilising the driver inside the Range Rover four-wheel drive as rescue personnel worked to free him.
Crash investigators were looking into the cause of the crash, which occurred around a 45km/hr s-bend on the rural road.
